By accessing and using Billasale ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Eligibility and Registration
To use Billasale, you must:
- Be a licensed automotive dealer with appropriate provincial licensing
- Provide valid dealer license number and business information
- Be authorized to act on behalf of your dealership
- Maintain current and accurate registration information
We reserve the right to verify your dealer credentials and may suspend or terminate accounts that cannot be verified or are found to be fraudulent.
3. Service Description
Billasale provides digital document creation, management, and electronic signature services specifically designed for automotive dealers. The Service includes but is not limited to:
- Digital bill of sale creation and management
- Electronic signature capture and verification
- Document storage and retrieval
- Compliance templates for automotive transactions
4. User Responsibilities
As a user of Billasale, you agree to:
- Use the Service only for legitimate business purposes
- Ensure all information provided is accurate and complete
- Maintain the security of your account credentials
- Comply with all applicable laws and regulations
- Not share your account with unauthorized parties
- Immediately notify us of any security breaches
5. Electronic Signatures and Electronic Business Conduct
Electronic Business Conduct Requirement
By using Billasale, you expressly agree to conduct business electronically. This includes all communications, document delivery, signature processes, and transaction records. Use of this platform constitutes your consent to electronic business practices and digital document management.
Electronic signatures created through Billasale are legally binding under the Electronic Transactions Act and Electronic Commerce Protection Act. By using our electronic signature features and agreeing to conduct business electronically, you acknowledge that:
- Electronic signatures have the same legal force and effect as handwritten signatures
- You consent to receive all documents, notices, and communications electronically
- You agree that electronic records satisfy any legal requirement for written documentation
- You are responsible for ensuring signers have the authority to sign and consent to electronic signature
- Documents signed electronically are admissible in legal proceedings
- You will maintain proper records of all electronic transactions
- All parties involved in the transaction must agree to conduct business electronically
Buyer Consent: When buyers sign documents through Billasale, they are automatically agreeing to conduct the transaction electronically and accepting that their electronic signature is legally binding.
Dealer Requirements: As a dealer, you must ensure that all customers understand they are agreeing to electronic signature and electronic business conduct when using this platform. This agreement is mandatory for using Billasale services.
6. Data Security and Privacy
We implement industry-standard security measures to protect your data. However, no system is 100% secure. You acknowledge the inherent risks of transmitting data over the internet and agree that we are not liable for any unauthorized access to your information, except where required by law.
7. Intellectual Property
All content, features, and functionality of Billasale are owned by us and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written consent.
8. Limitation of Liability
To the maximum extent permitted by law, Billasale shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to:
- Loss of profits or business opportunities
- Data loss or corruption
- System downtime or service interruptions
- Third-party claims or legal disputes
Our total liability for any claim shall not exceed the amount paid by you for the Service in the twelve months preceding the claim.
9. Service Availability
While we strive to maintain continuous service availability, we do not guarantee uninterrupted access to Billasale. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.
10. Termination
Either party may terminate this agreement at any time. Upon termination, your access to the Service will cease, but provisions regarding intellectual property, limitation of liability, and data retention will survive termination.
11. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of Ontario, Canada. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of Ontario.
